📄 NON-DISCLOSURE AGREEMENT (NDA)
For Reviewers & Editors of "Successful Adulting for Hippos"
This Non-Disclosure Agreement ("Agreement") is entered into as of [Date] by and between [Your Full Name/Business Name], hereinafter referred to as the “Disclosing Party,” and [Reviewer/Editor Name], hereinafter referred to as the “Receiving Party.”
Purpose
The Receiving Party agrees to review and/or provide editorial feedback on the unpublished manuscript and related materials for Successful Adulting for Hippos (the "Work"). In doing so, the Receiving Party may be granted access to confidential content, concepts, outlines, and proprietary information that must remain protected.
Confidential Information
For purposes of this Agreement, “Confidential Information” includes:

Any and all unpublished drafts or sections of the book

Associated workbooks, templates, and digital resources

Notes, edits, feedback, and communications related to the Work

Any marketing materials not yet publicly released

Business strategies, launch plans, and product details shared in the course of this collaboration
Obligations of the Receiving Party
The Receiving Party agrees to:

Keep all Confidential Information private and not disclose it to any third party without prior written consent from the Disclosing Party.

Not copy, reproduce, distribute, or use the Work for any purpose other than review and/or editing as expressly authorized.

Take reasonable steps to protect the Work from unauthorized access, disclosure, or use.
Exclusions from Confidential Information
Confidential Information does not include information that:

Is or becomes publicly known through no breach of this Agreement

Is received from a third party lawfully and without restriction

Is independently developed by the Receiving Party without use of the Confidential Information
Return or Destruction of Materials
Upon request, the Receiving Party agrees to return or permanently destroy all copies of the Work and any associated materials within 5 business days.
Term
This Agreement remains in effect from the date signed and for a period of 2 years following the Disclosing Party’s public release of the Work (or indefinitely if the Work is never officially published).
Breach & Remedies
In the event of a breach, the Disclosing Party may seek legal remedy including but not limited to injunctive relief, monetary damages, and legal fees.
Miscellaneous

This Agreement shall be governed by the laws of the State of [Your State].

This document reflects the entire understanding between the parties regarding confidentiality and supersedes prior discussions or agreements.

Any amendments must be made in writing and signed by both parties.
